1. Introduction

Welcome to Kempto. By using our website (www.kempto.com) or engaging our creative services, you agree to these Terms & Conditions and Privacy Policy (“Agreement”). If you do not agree, please do not use this website or our services. Kempto is an international creative agency based in New Delhi, India, providing branding, design, digital marketing, creative direction, website design, content strategy, video production, and motion graphics services to clients worldwide.

2. Services

We provide brand strategy, identity design, UX/UI design, digital campaigns, creative consultancy, content creation, video production, and motion design. Specific terms for each project (scope, deliverables, deadlines, and pricing) are defined in a written proposal or statement of work shared with each client.

3. Client Responsibilities

Clients agree to provide accurate and timely information, brand materials, and approvals necessary for project completion. Delays in feedback, payments, or required assets may result in project rescheduling or additional fees.

4. Payments & Refunds

All projects require a 50% advance payment before commencement, with the remaining 50% due upon completion of the final deliverables. Invoices are payable within 15 days of issue. Delayed payments may incur 1.5% monthly interest. Payments are non-refundable once work has started, except where Kempto cancels a project before delivering any creative output.

5. Intellectual Property

Upon full payment, clients receive full commercial rights and ownership of the final deliverables as outlined in their agreement. Kempto retains ownership of pre-existing tools, templates, and design processes used to create the deliverables. Clients warrant that all materials they provide are original or properly licensed and agree to indemnify Kempto against any third-party claims. Kempto may showcase completed work in its portfolio and marketing materials unless the client requests confidentiality in writing.

6. Confidentiality

Both parties agree to maintain confidentiality regarding all non-public project information. Confidential data may not be disclosed without prior consent, except as required by law. These obligations survive termination for two years.

7. Limitation of Liability

Kempto will provide services with reasonable skill and care consistent with industry standards. However, Kempto shall not be liable for indirect, consequential, or incidental damages (including loss of business or profit). Total liability under this Agreement shall not exceed the total amount paid by the client for the specific project.

8. Termination

Either party may terminate a project by written notice if the other materially breaches these terms and fails to remedy the breach within 14 days. Upon termination, clients must pay for all work completed up to that date. Kempto may retain ownership of unfinished materials until payments are cleared.

9. Governing Law & Jurisdiction

This Agreement is governed by the laws of India (New Delhi jurisdiction) and, where applicable, the laws of the European Union and United Kingdom for data protection and privacy. Disputes shall first be attempted through good-faith negotiation, and if unresolved, submitted to the competent courts of New Delhi, India.

We collect personal information such as name, company, email, IP address, and website interaction data when you contact us, request a proposal, or use our site.

➤ How We Use Data

Your data is used to communicate with you, deliver creative services, issue invoices, send updates, and improve our offerings. We do not sell or rent personal data.

➤ Legal Basis

Processing of your personal data is based on (i) contract necessity, (ii) your consent, or (iii) our legitimate business interest to improve client experience and communication.

➤ Data Sharing & Transfers

We may share data with trusted service providers (e.g., hosting, analytics, payment gateways) under confidentiality agreements. Data may be processed internationally, including outside India, the EU, or UK, under GDPR Standard Contractual Clauses or equivalent safeguards.

➤ Retention

We retain data as long as required to fulfil business or legal purposes—generally up to seven years for client records.

➤ Cookies

Our website uses cookies and analytics tools (e.g., Google Analytics) to track usage and improve performance. You can disable cookies in your browser settings, though some features may not function properly.

➤ Your Rights
